U.S. cybersecurity company Proofpoint has agreed to acquire Israeli-founded data security firm Varonis Systems in an all-cash transaction valued at approximately $6.3 billion, in one of the major deals involving Israel’s cybersecurity industry.
Under the terms of the definitive agreement announced Thursday, Varonis shareholders will receive $49.75 per share. The offer represents a 52% premium over Varonis’ closing share price of $32.71 on June 22, the last full trading day before initial reports of a potential sale emerged. It also represents a 17% premium over the September 1 closing price of $42.35.
The transaction has been unanimously approved by Varonis’ board of directors. Completion is expected in the first half of 2027, subject to shareholder approval, regulatory clearances and other customary closing conditions. Following completion, Varonis will become a privately held company and its shares will cease trading on Nasdaq. <Cite refs={["turn940831search0","turn940831search3"]}/>
A Major Deal in the Global Cybersecurity Market
The acquisition brings together two complementary cybersecurity businesses as companies worldwide seek to protect increasingly complex digital environments and the growing use of artificial intelligence.
Varonis specializes in securing sensitive corporate data, identifying and classifying confidential information, managing access permissions and detecting suspicious activity. Proofpoint focuses on protecting people, communications and organizations against cyber threats, including email-based attacks and risks associated with AI agents.
The companies say the combination will create a comprehensive platform for data and AI security, integrating protection against threats targeting employees, corporate information, and autonomous AI systems. <Cite refs={["turn940831search0","turn940831search2"]}/>
Israeli Roots, Global Operations
Founded in 2004, Varonis has become an established player in enterprise data security. The company employs approximately 2,800 people worldwide, including around 1,000 in Israel, where it maintains a significant development operation.
The acquisition underscores the international reach of Israeli-founded cybersecurity companies and the strategic value of technologies that protect sensitive corporate information.
For Israel’s technology sector, the transaction represents a substantial exit in a market where demand for cybersecurity solutions is being reinforced by the rapid adoption of generative AI and increasingly sophisticated cyber threats. <Cite refs={["turn940831search1","turn940831search4"]}/>
Thoma Bravo Backs the Acquisition
Proofpoint is owned by private equity firm Thoma Bravo, which took the cybersecurity company private in 2021. Thoma Bravo is providing committed equity financing and has secured debt financing commitments to fund the transaction. Ontario Teachers’ Pension Plan has also agreed to invest in Proofpoint in connection with the deal.
The transaction values Varonis at approximately 8.4 times its trailing 12-month revenue and 53 times its trailing 12-month free cash flow, based on the companies’ stated valuation calculations.
The acquisition will expand Proofpoint’s capabilities in data protection and AI security while giving Varonis shareholders a cash exit at a substantial premium to the company’s pre-rumor share price. <Cite refs={["turn940831search0","turn940831search3"]}/>
What Happens Next?
Until the transaction closes, Proofpoint and Varonis will continue to operate as separate, independent companies. The deal remains subject to the required shareholder and regulatory approvals.
The acquisition reflects a broader consolidation trend in cybersecurity, as vendors seek to combine complementary technologies and offer customers more integrated protection against threats involving people, data and artificial intelligence.
